1. Acceptance of these terms

These Terms of Use ("Terms") govern your access to and use of the website at trellsystems.com and any other domains we operate that direct to it (the "Site"), operated by Lumetica, Inc., a Delaware corporation ("Lumetica," "we," "us"), which provides the Trell platform (the "Platform" or "Trell"). By accessing or using the Site you agree to these Terms. If you do not agree, do not use the Site. Where you submit information through a form on the Site, you also accept these Terms by selecting the acceptance checkbox on that form.

2. The Site and the Platform

The Site provides information about Trell and the Platform. Access to and use of the Platform and any services are governed by a separate written agreement between Lumetica and the customer (for example, a Master Services Agreement and, for production data, a Data Processing Agreement). Nothing on the Site is an offer to provide the Platform except under such an agreement.

These Terms govern only your use of the informational Site. They are subordinate to any Master Services Agreement, Data Processing Agreement, or other written agreement between your organization and Lumetica, and if there is any conflict as to the subject matter of that agreement, that agreement controls. Trell helps organize and surface information. It is not a regulated or validated system of record, and it does not create, certify, or guarantee compliance with GMP, GxP, data integrity, or any regulatory outcome. Customers remain responsible for their own regulatory compliance, validation, quality decisions, and records.

3. Eligibility and permitted use

You may use the Site only if you can form a binding contract with us, and only for lawful business purposes. You agree not to misuse, disrupt, or attempt to gain unauthorized access to the Site; scrape or harvest data except as permitted; reverse engineer; or use the Site to infringe rights or violate law.

4. Intellectual property

The Site and its content, including text, graphics, logos, and the Trell and Lumetica marks, are owned by or licensed to us and protected by law. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your internal business purposes. No other rights are granted. Trell, Lumetica, and associated logos are trademarks of Lumetica, Inc. All third-party names and marks, including any company or agency names that appear in analyses on the Site, are the property of their respective owners and are used for identification and commentary only, without implying any affiliation or endorsement.

5. Submissions and communications

If you send us feedback or inquiries, you grant us a non-exclusive, royalty-free license to use them to operate and improve our business, and you represent you have the right to share them. Do not send confidential or regulated information through the Site; use the channels established under your customer agreement. This license applies only to feedback that is not confidential and that does not contain personal, proprietary, or regulated data, and we claim no license to any such information you send us.

6. Informational content, not advice

Content on the Site, including any analyses of regulatory findings, warning letters, or industry data, is provided for general informational purposes only. It is not legal, regulatory, quality, or compliance advice and creates no professional relationship. Do not rely on it as a substitute for qualified professional judgment.

Where the Site references or analyzes publicly available regulatory materials, including FDA warning letters, Form 483 observations, recalls, or other enforcement records, it does so using public and government sources and for commentary and educational purposes. Any characterization of such materials is our opinion and analysis as of the date written, may be incomplete or superseded, and is not a statement of fact that any named company, site, product, or individual is currently non-compliant or engaged in wrongdoing beyond what the cited public record states. References to any company, product, or agency are for identification and commentary only, do not imply that party's endorsement of or affiliation with Lumetica or Trell, and do not indicate that the party is a customer of Lumetica. To request correction of a factual inaccuracy in any published analysis, contact support@lumetica.io and we will review it in good faith.

7. Third-party links and content

The Site may reference or link to third-party content we do not control or endorse, and we are not responsible for it.

8. Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LUMETICA AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SITE. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE AND THESE TERMS WILL NOT EXCEED ONE HUNDRED US DOLLARS ($100). NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD OR FRAUDULENT MISREPRESENTATION. THIS SECTION APPLIES TO THE SITE AND THESE TERMS ONLY AND DOES NOT LIMIT OR AFFECT ANY WARRANTY, INDEMNITY, OR LIABILITY UNDER A MASTER SERVICES AGREEMENT, DATA PROCESSING AGREEMENT, OR OTHER WRITTEN AGREEMENT GOVERNING THE PLATFORM.

10. Indemnification

You will indemnify, defend, and hold Lumetica and its affiliates harmless from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Site or violation of these Terms.

11. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. The state and federal courts located in Delaware have exclusive jurisdiction, and you consent to that jurisdiction and venue.

12. Changes to the Site and these Terms

We may modify or discontinue the Site and may update these Terms. Changes are effective when posted with a new "Last Updated" date. Continued use means you accept the updated Terms.

13. Termination

We may suspend or terminate your access to the Site at any time.

14. Miscellaneous

These Terms are the entire agreement regarding the Site, supersede prior understandings about the Site, and do not affect any separate customer agreement. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may.

15. Accessibility

We want the Site to be usable by as many people as possible and are working toward conformance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA. Accessibility is an ongoing effort, and some content may not yet fully conform. If you encounter a barrier or need information in an alternative format, contact support@lumetica.io and we will work to provide the information or functionality you need.
